Commerce Partners'Corporate Governance Group ("Corporate Governance Group") provides Board of Director membership and advisor services. Commerce Partners understands the role of board members relative to management, having previously served in both capacities. Commerce Partners understands how to be responsive to shareholders without surrendering non-public information or control. Commerce Partners has been asked to become directors of companies that are: (i) undergoing operational and financial difficulties, (ii) integrating acquisitions or mergers, (iii) passing on control between family members or generations, (iv) involved in disputes between investors or family members, and (v) interested in more independent and diverse directors. Commerce Partners members have also been appointed as Provisional Directors by trial courts to break voting gridlock or where powerful, irreconcilable and competing board factions have developed.
